Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Investment Nerds website, application, forums, community spaces, learning resources, tools and other services operated or controlled by Investment Nerds (together, the "Platform").

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Investment Nerds is an investment-education community. We provide education, information, tools and community discussion. We do not provide personalised investment advice, hold or manage members' investment money, or authorise regulated investment activities through the Platform unless separately authorised and licensed to perform the relevant activity.

These Terms should be read with our Privacy Policy, Investment Education Disclaimer, Community Guidelines, Expert & Creator Policy and Security & Responsible Disclosure Policy.

Investment Nerds is an independent investment-education community based in Ghana and serving members in Ghana and abroad.

The Platform may provide:

• educational articles, lessons, courses and learning programmes;
• community discussions and forums;
• portfolio-tracking tools;
• market data and general investment information;
• calculators, projections and other informational tools;
• educational contributions from experts, educators and creators;
• certifications relating to completion of Investment Nerds learning programmes; and
• membership plans, paid educational content or other permitted services where introduced.

Features may change over time.

Public educational material may be available without an account.

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to create an account or use community, portfolio, consultation or paid features intended for adults.

You must:

• provide accurate registration information;
• keep your account information reasonably current;
• protect your login credentials and authentication methods;
• promptly report suspected unauthorised access;
• not sell, transfer or share your account; and
• not create an account for another person without authority.

You are responsible for activity conducted through your account except to the extent applicable law provides otherwise.

Unless separately authorised and licensed to perform a particular activity, Investment Nerds is not a bank, broker, dealer, fund manager, portfolio manager, investment adviser, financial planner, securities exchange, collective investment scheme, payment service or other regulated financial institution.

Investment Nerds does not through the Platform:

• buy, sell, offer, solicit, distribute or arrange investments or securities;
• provide personalised investment recommendations;
• manage another person's portfolio;
• execute transactions for members;
• receive, hold, pool, transfer or invest members' investment money;
• take custody or control of members' investment assets or financial accounts;
• provide paid investment signals; or
• operate investment clubs, pools or schemes.

Nothing in these Terms, the Platform or any Investment Nerds communication grants a licence or regulatory authorisation to Investment Nerds, a member, administrator, moderator, expert, educator or creator.

Use of the Platform does not create an adviser-client, broker-client, fiduciary, agency, portfolio-management or other regulated professional relationship.

All lessons, articles, courses, community discussions, market information, research, expert contributions, calculators, portfolio tools and other content provided through the Platform are for general educational and informational purposes.

They do not constitute:

• personalised investment advice;
• financial planning;
• portfolio management;
• a recommendation to buy, sell or hold an investment;
• an offer or solicitation to purchase or sell a security or investment product;
• an invitation to participate in an investment scheme;
• an offer to manage another person's money; or
• individualised legal, tax, accounting or other regulated professional advice.

Content does not take account of your personal income, assets, liabilities, age, financial objectives, risk tolerance, experience, family circumstances, employment, portfolio, tax position or other personal circumstances for the purpose of recommending an investment.

You are responsible for independently evaluating information and making your own decisions. Where your circumstances require personalised professional advice, obtain it independently from an appropriately qualified and, where required by law, licensed professional.

Investing involves risk, including possible loss of capital.

Investment Nerds does not guarantee any investment return, profit, income, result or outcome. Historical results, examples, simulations and illustrations do not guarantee future performance.

Markets, interest rates, inflation, currencies, securities and economic or regulatory conditions can change. Information may become inaccurate or outdated.

You remain responsible for determining whether an investment or financial decision is appropriate and lawful for you.

Portfolio-tracking features, calculators, projections, market information and similar tools are informational.

Information may be delayed, incomplete, inaccurate or unavailable. Outputs depend on the data and assumptions used and may not reflect future results.

Investment Nerds does not independently verify all market information or user-entered portfolio data and does not undertake to monitor your portfolio, identify every risk or alert you to every relevant market development.

Do not rely on Platform data or calculations as the sole basis for time-sensitive or transactional decisions.

Community content is created by members and contributors and may be incomplete, inaccurate, outdated or based on assumptions, opinions or personal experience.

A reference to a particular security, issuer, product, institution or service is not, merely because it appears on the Platform, an endorsement or recommendation by Investment Nerds.

Investment Nerds does not independently verify every statement made by members and does not guarantee the accuracy, completeness, timeliness or suitability of user-generated content.

Members must independently verify important information before acting on it.

Experts, educators, creators and other contributors ("Contributors") are subject to these Terms and the Community Guidelines.

Contributors must not through Investment Nerds:

• provide personalised investment recommendations;
• solicit investment clients;
• collect or receive members' investment money;
• manage members' money or portfolios;
• execute transactions for members;
• sell investment products;
• provide paid investment signals;
• disguise investment solicitation as education; or
• claim licences, qualifications or professional status they do not hold.

A Contributor who describes themselves as regulated must accurately identify their professional capacity and, where relevant, the regulated entity with which they are associated.

Professional status does not create permission to conduct regulated activity through Investment Nerds.

Contributor views are their own unless Investment Nerds expressly states otherwise. Investment Nerds does not guarantee a Contributor's accuracy, availability or suitability.

Any independent professional relationship entered into outside the Platform is separate from Investment Nerds, subject to applicable law, and does not make Investment Nerds a party to that relationship.

Members and Contributors must disclose material conflicts of interest when discussing an investment, issuer, product or service where the interest could reasonably affect the objectivity of the contribution.

Investment Nerds may have commercial or other material relationships with third parties. Where such a relationship is relevant to official content, Investment Nerds should disclose it where reasonably relevant.

A commercial relationship, link, listing or mention does not by itself constitute an endorsement, investment recommendation, verification of regulatory status or approval.

Investment Nerds does not receive, hold, pool, transfer or invest members' investment money.

You must not use the Platform to:

• send investment money to another member, moderator, administrator or Contributor;
• collect investment funds;
• request or provide brokerage, bank or mobile-money account access;
• request or disclose passwords, PINs, one-time passwords or authentication codes;
• authorise another member to trade on your behalf; or
• give another member custody or control of investment assets.

Investment Nerds will not ask you to disclose passwords, PINs, authentication codes or financial-account credentials.

Investment Nerds may separately charge for legitimate Platform services such as memberships, educational content or certifications where those services are introduced. Any such payment is a payment for the stated Platform service and is not an investment deposit.

At the date of these Terms, paid Platform features may not yet be active.

Before Investment Nerds charges for a membership, course, certification or other Platform service, applicable pricing, billing, cancellation, renewal and refund terms will be presented or incorporated into these Terms as appropriate.

Investment Nerds does not accept investment funds through Platform billing.

Where payments are introduced, payment processing may be performed by third-party providers subject to their applicable terms and privacy practices.

An Investment Nerds certification records completion of a defined Investment Nerds learning programme.

It is not:

• a professional licence;
• a regulatory qualification;
• authorisation to provide investment advice or another regulated service;
• confirmation of professional competence; or
• a guarantee of investment skill or results.

Investment Nerds may establish reasonable certification requirements and may revoke a certification obtained through fraud or serious breach of applicable programme rules.

You retain ownership of original content you submit.

By submitting content, you grant Investment Nerds a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, transmit, adapt as technically necessary, moderate and otherwise use the content to operate, secure and administer the Platform.

Where you delete content, copies may remain where reasonably necessary for backups, security, fraud prevention, legal compliance, dispute resolution, enforcement, or where another user has independently retained or shared it.

You represent that you have the rights and authority necessary to submit your content.

You must not submit content that infringes intellectual-property rights, violates confidentiality, unlawfully discloses personal information, contains fraudulent material or otherwise violates law or these Terms.

The Community Guidelines form part of the rules governing participation in Investment Nerds community spaces.

You must not use the Platform to:

• provide personalised investment recommendations;
• offer, promote or solicit investments;
• recruit investors or investment clients;
• raise or collect investment capital;
• operate or promote an unlicensed investment activity;
• guarantee profits or falsely describe risky investments as risk-free;
• create deceptive urgency or pressure people to trade;
• manipulate or coordinate attempts to manipulate a market;
• run pump-and-dump activity;
• conceal material conflicts;
• perpetrate fraud, phishing, impersonation or identity theft;
• distribute malware or attack Platform security;
• unlawfully scrape protected information;
• spam, conduct unauthorised commercial solicitation or mass-message users;
• infringe intellectual-property, privacy or other legal rights;
• harass, threaten, stalk or unlawfully discriminate against others; or
• facilitate unlawful conduct.

Investment Nerds may review, restrict, preserve or remove content and may warn, restrict, suspend or terminate accounts where reasonably necessary to:

• enforce these Terms or the Community Guidelines;
• investigate suspected fraud, scams or misconduct;
• protect members;
• preserve evidence;
• investigate cybersecurity incidents;
• protect Platform integrity;
• comply with applicable law or lawful requests; or
• manage legal, regulatory or security risk.

Enforcement may consider seriousness, intent, actual or potential harm, financial or security risk, previous conduct, repetition, cooperation and applicable legal obligations.

Investment Nerds may act immediately where circumstances reasonably require it.

Where reasonably practicable, significant enforcement actions may be explained and may be appealed through the designated channel. Investment Nerds is not required to disclose confidential security information, another person's private information, fraud-detection methods or information it is legally prohibited from disclosing.

Except for user content and third-party material, the Platform, Investment Nerds content, learning materials, software, graphics, branding, names and logos are owned by or licensed to Investment Nerds and are protected by applicable intellectual-property law.

Subject to these Terms, Investment Nerds grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purposes.

You may not commercially exploit, republish, resell or misuse Investment Nerds intellectual property without permission except where applicable law permits it.

The Platform may contain links or references to brokers, exchanges, financial institutions, educators, data providers or other third-party services.

A link or reference does not constitute endorsement, recommendation, verification, licensing confirmation or approval.

Investment Nerds does not control third-party services and is not responsible for their content, availability, terms, privacy practices or independent conduct.

You should independently verify the identity, legitimacy, regulatory status and terms of a third party before using its services.

Investment Nerds processes personal information in accordance with its Privacy Policy and applicable data-protection requirements, including the Data Protection Act, 2012 (Act 843) of Ghana where applicable.

Investment Nerds may preserve or disclose information where required or permitted by applicable law, including in connection with lawful requests, fraud investigations, security incidents and enforcement.

To the maximum extent permitted by applicable law, the Platform and its content are provided on an "as is" and "as available" basis.

Investment Nerds does not undertake to:

• guarantee continuous Platform availability;
• monitor every investment discussed;
• identify every investment risk;
• correct every inaccurate community statement;
• prevent every scam or unauthorised communication;
• monitor individual portfolios; or
• guarantee that all data, content or tools are accurate or complete.

Nothing in these Terms excludes a warranty, duty or right that applicable law does not permit to be excluded.

To the maximum extent permitted by applicable law, Investment Nerds and its authorised officers, employees, administrators, moderators and agents are not responsible for losses arising solely from:

• investment decisions made by users;
• market movements or investment losses;
• inaccurate or incomplete user-generated content;
• a user's failure to independently verify information;
• third-party websites or services;
• member-to-member transactions;
• fraudulent impersonation or communications by unauthorised persons;
• unauthorised acts of another user; or
• temporary service interruption.

To the maximum extent permitted by law, Investment Nerds will not be liable for indirect, incidental, special, consequential or exemplary losses, or loss of profits, opportunity, goodwill or data, arising from use of the Platform.

Where liability cannot lawfully be excluded, any limitation will apply only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited, including liability arising from fraud, wilful misconduct or other mandatory liability.

Administrators and moderators perform authorised community functions on behalf of Investment Nerds.

To the maximum extent permitted by applicable law, an administrator or moderator is not personally liable solely because they performed authorised administrative or moderation functions in good faith for:

• a member's independent investment loss;
• market movements;
• reliance on user-generated content;
• unauthorised acts or impersonation by third parties;
• temporary service interruptions; or
• reasonable content restrictions or moderation decisions made under these Terms or the Community Guidelines.

This provision does not create immunity from criminal, regulatory or statutory obligations and does not exclude fraud, wilful misconduct or liability that applicable law does not permit to be excluded.

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Investment Nerds and its authorised officers, employees, administrators, moderators and agents against third-party claims, liabilities, losses, costs and reasonable expenses arising directly from your:

• breach of these Terms or Community Guidelines;
• unlawful or fraudulent conduct;
• infringement of another person's rights;
• unauthorised investment solicitation;
• misuse of another person's personal information;
• misuse of the Platform; or
• content you submit.

This indemnity does not apply to the extent a claim results from conduct for which applicable law prohibits indemnification.

You may stop using the Platform and request account closure subject to applicable retention requirements.

Investment Nerds may suspend, restrict or terminate access where reasonably necessary under these Terms, including for serious or repeated misconduct, legal compliance, security, fraud prevention or discontinuation of a service.

Provisions which by their nature should survive termination — including intellectual-property rights, disclaimers, liability provisions, indemnities, dispute provisions and obligations arising from prior conduct — will survive to the extent legally applicable.

Investment Nerds may be accessed by people outside Ghana.

The Platform is not represented as complying with every law of every jurisdiction. You are responsible for laws applicable to your location and circumstances.

Investment Nerds may restrict access to particular services, features, products or activities where reasonably necessary for legal or regulatory compliance.

Nothing in these Terms deprives a user of mandatory rights or remedies that cannot lawfully be excluded in the user's jurisdiction.

Investment Nerds may change, suspend or discontinue Platform features and may amend these Terms where reasonably necessary for operational, legal, regulatory, security or product reasons.

Material changes will be communicated through appropriate channels, and revised Terms will state their effective date.

Where applicable law requires additional consent rather than continued use, Investment Nerds will seek it.

These Terms are governed by the laws of the Republic of Ghana, subject to mandatory rights or protections that applicable law does not permit to be excluded.

Before commencing formal proceedings, you and Investment Nerds should attempt in good faith to resolve a dispute by contacting info@investmentnerds.org.

Subject to applicable mandatory law, unresolved disputes will be subject to the jurisdiction of the courts of Ghana.

Entire agreement

These Terms, together with policies and terms expressly incorporated into them, constitute the agreement governing your use of the Platform.

Policy hierarchy

Where a Community Guideline conflicts with these Terms, these Terms govern to the extent of the conflict. The Privacy Policy governs the description of Investment Nerds' processing of personal information. Mandatory law prevails over inconsistent contractual provisions.

Severability

If a provision is unlawful, invalid or unenforceable, it will be interpreted or modified to the minimum extent legally permissible and the remaining provisions will continue in effect.

No waiver

Failure to enforce a provision on one occasion does not waive the right to enforce it later.

Assignment

You may not transfer your rights under these Terms without permission. Investment Nerds may transfer its rights and obligations as part of a lawful restructuring, merger, acquisition or transfer of the Platform.

Force majeure

To the extent permitted by law, Investment Nerds is not responsible for delay or failure caused by circumstances beyond its reasonable control.
